Terms of Service

These Terms of Service ("Terms") govern your access to and use of the HaulScope platform, services, websites, and applications (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. Accounts and Eligibility

  • You must be at least the age of majority in your jurisdiction and authorized to act on behalf of the company or fleet to create an account.
  • You are responsible for the accuracy of information provided and for maintaining the security of your account and credentials (including Google sign-in).

2. Acceptable Use

  • You will use the Services in compliance with applicable laws and regulations, including privacy, employment, and payroll laws.
  • You will not misuse the Services, interfere with their normal operation, or attempt to access them using a method other than the interfaces and instructions we provide.
  • You will not upload unlawful, infringing, or harmful content.

3. Customer Data and Responsibilities

  • You retain ownership of the data and documents you upload to the Services ("Customer Data"). You grant HaulScope a limited license to host, process, and display Customer Data as necessary to provide the Services and support.
  • You are responsible for obtaining all necessary rights and consents to provide Customer Data and for ensuring that your use of the Services is compliant with applicable law.

4. Privacy

Our Privacy Policy explains how we collect and use personal information. By using the Services, you acknowledge the Privacy Policy.

5. Service Changes and Availability

We may update, modify, or discontinue features from time to time. We strive for high availability but do not guarantee uninterrupted or error-free operation. Planned maintenance or incidents may affect availability.

6. Subscriptions, Fees, and Taxes

If you purchase a subscription, you agree to pay the applicable fees and taxes. Unless otherwise stated in an order, subscriptions renew automatically until canceled. You are responsible for providing accurate billing information and for all charges incurred under your account.

7. Confidentiality

We will protect your confidential information using reasonable safeguards and will only use it as necessary to provide the Services or as otherwise permitted by you or by law.

8. Intellectual Property

HaulScope and its licensors own the Services, including all related intellectual property. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAULSCOPE AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO HAULSCOPE FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11. Indemnification

You will indemnify and hold harmless HaulScope and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees, arising out of or in any way connected with your use of the Services or violation of these Terms.

12. Term and Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or if we reasonably believe your use presents a risk to the Services or other users. You may stop using the Services at any time. Certain sections survive termination, including ownership, confidentiality, disclaimers, limitations of liability, and indemnification.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. You agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction and venue for any disputes arising out of or relating to the Services or these Terms. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

14. Changes to Terms

We may update these Terms from time to time. If changes are material, we will provide notice by posting the updated Terms and updating the effective date. Your continued use of the Services after the effective date constitutes acceptance.
